By accessing or using the Services, creating an account, submitting a pricing request or RFQ, accepting a quotation, or placing an order, you agree to these Terms and to the Privacy Policy and Return Policy, each incorporated by reference. If you do not agree, do not use the Services.

Acceptance of Terms
Korvian UAV is a business unit and trade name of Korvian Holdings LLC ("Korvian," "we," "us," or "our") that operates an e-commerce storefront, online catalog, pricing-request and RFQ processes, account features, and related commercial services. These Terms and Conditions ("Terms") govern access to and use of those offerings and related website functions (collectively, the "Services").
By accessing or using the Services, creating an account, submitting a pricing request or RFQ, accepting a quotation, or placing an order, you agree to these Terms and to the Privacy Policy and Return Policy, each incorporated by reference. If you do not agree, do not use the Services.
Business and Purchase Eligibility
You must be at least eighteen (18) years old and legally capable of entering a binding agreement. If you use the Services on behalf of a company, agency, public entity, or other organization, you represent that you are authorized to bind that organization.
The Services are currently intended for U.S. customers and transactions. Korvian does not currently accept orders for shipment outside the United States.
Accounts and Account Security
Certain features may require an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding account credentials and for activity occurring through your account. Notify Korvian promptly of suspected unauthorized access or misuse.
Korvian may suspend or restrict an account when reasonably necessary to address suspected fraud, security concerns, unpaid balances, misuse of the Services, or violations of these Terms.
Product Information
Korvian works to present accurate product names, part numbers, descriptions, specifications, compatibility information, images, documentation availability, condition, pricing, and availability. However, information may be supplied by manufacturers, distributors, or other sources and may contain errors, omissions, or changes.
Images may be representative. Product revisions, packaging, labels, included documentation, country of origin, and other attributes may vary unless expressly confirmed in a product listing, quotation, order confirmation, or other written communication from Korvian.
Compatibility information is provided where reliable information is available. The customer remains responsible for confirming final installation, configuration, operational suitability, and compliance with applicable procedures and platform requirements.
Pricing Requests, RFQs, and Quotations
A "Request Pricing" submission concerns a specific listed product whose price is not displayed publicly. An RFQ generally concerns a product not listed in the catalog, special sourcing, or requirements involving condition, compatibility, documentation, delivery, or compliance.
Pricing requests and RFQs are requests for information and do not create a binding obligation. A quotation is valid only for the period stated in the quotation and remains subject to product availability, supplier confirmation, taxes, shipping, regulatory review, and any other stated conditions.
Unless Korvian expressly agrees otherwise in writing, a customer purchase order does not modify or supersede a Korvian quotation, order confirmation, these Terms, or another written agreement. Conflicting or additional terms contained in a customer purchase order are rejected.
Prices, Taxes, and Errors
Prices are stated in U.S. dollars and exclude taxes, shipping, handling, insurance, hazmat charges, duties, and other fees unless expressly stated. The customer is responsible for applicable sales, use, excise, and similar taxes, except taxes imposed on Korvian's income.
Customers claiming tax-exempt or resale status must provide acceptable documentation before the applicable transaction. Korvian may collect tax when valid documentation is not received or accepted.
Korvian may correct pricing, description, availability, or calculation errors before order acceptance. If an error is discovered after payment, Korvian may offer the customer the option to proceed using corrected information or cancel the affected item for a refund.
Orders and Acceptance
Submitting an order is an offer to purchase. An automated acknowledgement confirms receipt but does not constitute acceptance. Korvian accepts an order when it issues an order confirmation expressly accepting the order, begins fulfillment, or ships the product, whichever occurs first.
Korvian may refuse, limit, place on hold, or cancel an order when reasonably necessary because of product unavailability, supplier restrictions, pricing or description errors, suspected fraud, payment issues, regulatory or export-control concerns, customer eligibility, or other legitimate business reasons.
If Korvian cancels an accepted order after collecting payment, Korvian will refund the affected amount to the original payment method or use another agreed method.
Payment
Korvian may accept credit cards, supported digital wallets, ACH, wire transfer, or other methods identified at checkout, in a quotation, invoice, or written agreement. Available methods may vary by transaction.
By providing payment information, you represent that you are authorized to use the selected method and authorize Korvian and its payment processor to charge the amounts due. Payment card information is submitted directly to the applicable payment processor. Korvian does not directly store full payment card numbers and generally receives limited transaction details.
Unless written credit terms are approved, payment is due at the time stated at checkout, on the quotation, or on the invoice. Approved credit terms may be suspended or withdrawn for late payment, changed credit risk, or other reasonable grounds. The customer is responsible for reasonable collection costs, including attorneys' fees where permitted by law, for undisputed overdue amounts.
Shipping, Delivery, and Delay
Shipping method, estimated ship date, delivery timing, and freight charges are determined by product availability, destination, carrier service, cutoff times, hazmat restrictions, and the applicable quotation or order confirmation. Estimates are not guarantees.
For direct website orders, title and risk of loss generally pass upon delivery to the shipping address, unless the order confirmation states otherwise. For negotiated commercial orders, the accepted quotation, order confirmation, agreed shipping term, or other written agreement controls.
Korvian is not responsible for delays caused by carriers, weather, labor disruptions, supplier delays, government action, force-majeure events, or other circumstances beyond Korvian's reasonable control. Korvian will use commercially reasonable efforts to communicate material delays known to it.
Inspect deliveries promptly. Claims involving damage, shortage, incorrect products, or material nonconformance are handled under the Return Policy and any order-specific terms.
Inspection and Acceptance
The customer should inspect products and accompanying documentation promptly after delivery. Use, installation, alteration, resale, or failure to notify Korvian of an apparent issue within a reasonable time may constitute acceptance, subject to the Return Policy and rights that cannot lawfully be waived.
Returns, Cancellations, and Refunds
Returns and refunds are governed by the Korvian UAV Return Policy. Special-order, RFQ-sourced, customer-specific, opened, installed, battery, hazmat, configured, and final-sale products may be nonreturnable or restricted.
An order may not be cancelled after sourcing, configuration, assembly, supplier commitment, or shipment has begun unless Korvian agrees in writing. Approved cancellations may be subject to supplier charges, nonrecoverable costs, restocking fees, or other amounts disclosed during review.
Manufacturer and Supplier Warranties
Some products may include a manufacturer or supplier warranty that extends beyond Korvian's return period. Any such warranty is subject to the issuing party's duration, coverage, exclusions, claim procedures, and available remedies.
Korvian may assist with proof of purchase, documentation, and claim coordination where applicable, but does not extend, replace, or independently administer a manufacturer or supplier warranty unless expressly stated in writing. Expiration of Korvian's return period does not by itself terminate an applicable manufacturer or supplier warranty.
Korvian Warranty Disclaimer
UNLESS KORVIAN EXPRESSLY PROVIDES A SEPARATE WRITTEN WARRANTY, KORVIAN DOES NOT PROVIDE AN INDEPENDENT PRODUCT WARRANTY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS AND SERVICES ARE PROVIDED SUBJECT TO THE EXPRESS TERMS STATED IN THE PRODUCT LISTING, QUOTATION, ORDER CONFIRMATION, APPLICABLE MANUFACTURER OR SUPPLIER WARRANTY, AND RETURN POLICY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORVIAN DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED OR LIMITED. NOTHING IN THESE TERMS LIMITS NON-WAIVABLE RIGHTS OR REMEDIES.
UAV Product and Operational Responsibilities
Korvian supplies parts, batteries, controllers, cases, sensors, accessories, maintenance products, and related equipment for commercial and enterprise UAV operations.
The customer is responsible for: Determining whether a product is suitable and lawful for the intended aircraft, configuration, mission, and operating environment; Following manufacturer instructions, maintenance procedures, safety notices, service-life limits, and installation requirements; Compliance with FAA rules, aircraft registration, Remote ID requirements, airspace authorizations, pilot qualifications, and applicable state or local requirements; Determining whether a product satisfies customer-specific NDAA, Blue UAS, grant, contract, agency, cybersecurity, or procurement requirements; and Safe storage, charging, handling, transportation, and disposal of lithium-ion, lithium-polymer, chemical, hazmat, or otherwise regulated products.
Korvian does not represent that a product is NDAA-compliant, Blue UAS-listed, approved for BVLOS operations, suitable for a waiver submission, or permitted for a restricted program unless that status is expressly confirmed in writing for the specific product or order.
Export Controls and Restricted Transactions
Certain products, software, technology, documentation, or technical information may be subject to U.S. export-control, sanctions, end-use, end-user, or antiboycott laws, including the Export Administration Regulations (EAR) and, where applicable, the International Traffic in Arms Regulations (ITAR).
The customer may not export, reexport, transfer, release, resell, or use any item in violation of applicable law. Korvian may request end-use, end-user, citizenship, destination, or other compliance information and may refuse or cancel a transaction when authorization cannot be confirmed.
No Professional or Regulatory Advice
Product information, documentation guidance, compatibility assistance, and other communications from Korvian are commercial support and do not constitute legal, engineering, airworthiness, regulatory, export-control, cybersecurity, or other professional advice. Customers should consult their qualified personnel or advisors when necessary.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORVIAN AND ITS AFFILIATES, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF USE, BUSINESS INTERRUPTION, MISSION DELAY, OR SUBSTITUTE PROCUREMENT COSTS, ARISING FROM OR RELATED TO THE SERVICES, A PRODUCT, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORVIAN'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO A PRODUCT, ORDER, OR TRANSACTION WILL NOT EXCEED THE AMOUNT PAID TO KORVIAN FOR THE SPECIFIC PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Korvian and its affiliates, managers, officers, employees, and agents from third-party claims, damages, liabilities, penalties, and reasonable costs arising from your unlawful or unauthorized use, installation, modification, resale, export, reexport, operation, or disposal of a product; your violation of these Terms or applicable law; or information you provide that is inaccurate or infringes another party's rights.
This section does not require indemnification for claims caused solely by Korvian's gross negligence, willful misconduct, or other conduct for which indemnification cannot lawfully be required.
Intellectual Property
The Services and their design, text, graphics, logos, software, and other content are owned by or licensed to Korvian and protected by applicable intellectual-property laws. Third-party product names, images, trademarks, and content remain the property of their respective owners.
Korvian grants you a limited, revocable, nonexclusive, nontransferable right to use the Services for lawful business evaluation, procurement, account management, and related purposes. You may not reproduce, republish, scrape, mirror, distribute, modify, or commercially exploit Service content except with written permission or as allowed by law.
Acceptable Use
You may not:
Use the Services for unlawful, fraudulent, deceptive, or unauthorized purposes; Interfere with security, availability, performance, accounts, systems, or networks; Introduce malware or attempt unauthorized access; Systematically scrape or extract data except through an interface or API Korvian expressly authorizes; Impersonate another person or misrepresent authority, identity, end use, destination, or eligibility; or Use Service content in a manner that infringes intellectual-property, privacy, or other rights.
Third-Party Services and Links
The Services may rely on or link to payment processors, ecommerce platforms, carriers, analytics providers, manufacturers, suppliers, and other third parties. Their services and policies are governed by their own terms. Korvian is not responsible for third-party websites or services except to the extent required by law or expressly agreed in writing.
Electronic Communications
You consent to receive transaction-related communications electronically, including quotations, order confirmations, invoices, shipping notices, policy updates, and records. Electronic communications satisfy any requirement that communications be in writing to the extent permitted by law.
Force Majeure
Korvian is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, epidemic, war, terrorism, civil unrest, government action, sanctions, embargoes, transportation interruption, carrier failure, supplier failure, labor dispute, utility or internet outage, cyber incident, or material shortage. Performance time will be extended for the duration of the affected event.
Governing Law and Venue
These Terms and transactions with Korvian are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles and except where federal law applies.
Any dispute arising from or related to these Terms, the Services, or a transaction with Korvian must be brought in the state courts located in Mecklenburg County, North Carolina, or the United States District Court having jurisdiction over Mecklenburg County, and each party consents to personal jurisdiction and venue there, except where applicable law requires otherwise.
Suspension and Termination
Korvian may suspend or terminate access to the Services for a violation of these Terms, security risk, suspected fraud, nonpayment, unlawful conduct, or other reasonable grounds. Provisions that by their nature should survive will survive, including payment obligations, warranties and disclaimers, limitations of liability, indemnification, intellectual property, governing law, and order-specific obligations.
Changes to These Terms
Korvian may update these Terms by posting a revised version and changing the "Last Updated" date. Changes apply prospectively when posted unless a later date is stated. Material changes may also be communicated through the Services or by email. The Terms in effect when an order is accepted generally govern that order unless the parties agree otherwise.
Order of Precedence
If documents conflict, the following order generally applies: (1) a separately signed agreement; (2) an accepted Korvian quotation or order confirmation, including product-specific terms; (3) the Return Policy for return matters; (4) these Terms; and (5) the applicable product listing. A customer purchase order does not take precedence unless Korvian expressly accepts its terms in writing.
Miscellaneous
These Terms, together with incorporated policies and applicable order documents, constitute the agreement regarding the Services and transaction. If a provision is held unenforceable, the remaining provisions remain effective and the provision will be enforced to the maximum lawful extent. Failure to enforce a provision is not a waiver.
You may not assign an order or these Terms without Korvian's prior written consent. Korvian may assign these Terms or a transaction in connection with a merger, reorganization, sale of assets, financing, or transfer to an affiliate or successor. No partnership, joint venture, agency, fiduciary, or employment relationship is created by these Terms.
Headings are for convenience only. The words “including” and “includes” are illustrative and do not limit the preceding terms.
